Acceptance of terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you”, “your”, or “User”) and ToolChamp (“we”, “us”, “our”, or the “Service”). By accessing or using ToolChamp in any way — including visiting the website, using any tool, or uploading any file — you agree to be bound by these Terms and by our Privacy Policy.

If you do not agree with any part of these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Definitions

  • “Service” means the ToolChamp website, all tools, features, and related services offered at toolchamp.app.
  • “Content” means any file, text, image, audio, video, or other data you upload, input, or generate using the Service.
  • “Output” means files, text, or other results produced by the tools from your Content.
  • “Browser-side tool” means a tool that runs entirely within your web browser; your Content never leaves your device.
  • “Server-side tool” means a tool that processes Content on our servers or third-party APIs (e.g. AI features, large-file video conversion).

Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority in your jurisdiction, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

Certain tools or features may require a higher minimum age where mandated by local law. You represent and warrant that you meet the applicable age requirement.

Description of the service

ToolChamp provides a collection of free online utilities for file conversion, editing, generation, and analysis. The Service is offered as-is, without any guarantee that a specific tool will remain available, unchanged, or free in the future. We may add, remove, or modify tools and features at our sole discretion.

Free to use

The Service is currently offered at no cost. No payment, subscription, or account is required to access any tool. We reserve the right to introduce optional paid features or usage quotas in the future. If we do, we will clearly communicate which features are paid, and tools that are currently free will remain accessible in a free tier (although exact quota limits may change).

Accounts

The Service does not currently require user accounts. If we introduce accounts in the future, you will be responsible for maintaining the confidentiality of your credentials, for all activity under your account, and for notifying us promptly of any unauthorized use.

Acceptable use

You agree not to use the Service to:

  • Process, generate, transmit, or distribute content that is illegal, infringing, defamatory, obscene, harassing, or harmful
  • Violate the intellectual property, publicity, or privacy rights of any third party
  • Upload or generate content depicting child sexual abuse material (CSAM), non-consensual intimate imagery, or content that promotes terrorism or violence
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service, except as permitted by mandatory law
  • Interfere with or disrupt the integrity, performance, or security of the Service, including via denial-of-service, scraping, or automated abuse
  • Upload malware, viruses, worms, or any code designed to damage or gain unauthorized access to systems
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity
  • Use automated means, including bots or scripts, to access the Service in a manner that exceeds reasonable human usage
  • Circumvent any rate limit, content filter, or usage restriction we impose
  • Use the Service in a manner that violates applicable local, national, or international law, including export controls and sanctions regimes
  • Generate or use Output to deceive, defraud, or harm third parties

We may investigate and take legal action against anyone who, in our sole discretion, violates this section, including removing the offending content, suspending access, and reporting the activity to law enforcement.

Your content

You retain all rights, title, and interest in and to the Content you upload or process using the Service. We do not claim ownership of your Content or your Output.

By uploading Content to a server-side tool, you grant us a limited, non-exclusive, royalty-free, worldwide license to process, transmit, store temporarily, and transform that Content solely for the purpose of delivering the tool's functionality to you. This license ends automatically when processing completes and the file is deleted from our servers.

You represent and warrant that you have all necessary rights to the Content you upload and that uploading and processing it through the Service does not violate any law or the rights of any third party. You are solely responsible for your Content and any consequences of uploading it.

AI and automated output

Several tools use artificial intelligence, machine learning, or algorithmic processing to generate Output. AI Output is probabilistic and may contain errors, inaccuracies, hallucinated information, or content that is biased, offensive, or unsuitable for your purpose.

We do not warrant that AI Output is accurate, complete, current, or fit for any particular purpose. You are solely responsible for reviewing and verifying AI Output before relying on it for any decision — especially professional, legal, medical, financial, or safety-critical decisions.

You are also responsible for ensuring that your use of AI Output complies with applicable law, including copyright, defamation, and disclosure requirements in your jurisdiction.

Intellectual property

All content, branding, design, layout, code, and trademarks on the Service are owned by ToolChamp or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the limited right to use the Service as intended, these Terms grant you no license to our intellectual property. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Copyright & DMCA

ToolChamp respects intellectual property rights and complies with the U.S. Digital Millennium Copyright Act (DMCA) as well as equivalent laws in other jurisdictions. If you believe content on the Service infringes your copyright, send a written notice to [email protected] including:

  • Identification of the copyrighted work claimed to be infringed
  • The specific URL or location where the allegedly infringing material appears
  • Your contact information (name, address, phone, email)
  • A good-faith statement that the use is not authorized by the copyright owner, its agent, or the law
  • A statement, under penalty of perjury, that the information is accurate and you are the copyright owner or authorized to act on their behalf
  • Your physical or electronic signature

We may remove access to content alleged to infringe and, in appropriate circumstances, terminate repeat infringers.

Third-party services and links

The Service may link to third-party websites or integrate third-party APIs (such as cloud AI providers). We are not responsible for the content, privacy practices, or availability of those third-party services. Your use of third-party services is governed by the applicable third-party terms and privacy policies, which you should review.

Beta and experimental features

We may label certain tools or features as “beta”, “experimental”, or “preview”. Such features are provided on an as-is basis, may be unstable, and may be removed or materially changed at any time without notice. Output from beta features may be especially unreliable; use at your own risk.

Service availability and modifications

We strive to keep the Service available but do not guarantee uninterrupted, timely, secure, or error-free operation. The Service may be temporarily unavailable for maintenance, upgrades, capacity reasons, or causes beyond our control.

We reserve the right, at any time and without liability to you, to modify, suspend, or discontinue any part of the Service (including any tool or feature), with or without notice.

No warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING — WITHOUT LIMITATION — IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.

We do not warrant that the Service will meet your requirements, that the tools will produce accurate or reliable Output, or that defects will be corrected. Some jurisdictions do not allow the exclusion of implied warranties; in such jurisdictions, the exclusions above apply to the maximum extent permitted by law.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TOOLCHAMP AND ITS OPERATORS, CONTRIBUTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

BECAUSE THE SERVICE IS PROVIDED FREE OF CHARGE, IN NO EVENT SHALL TOOLCHAMP'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (WHICH, FOR FREE USERS, IS ZERO). THIS LIMITATION APPLIES REGARDLESS OF LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms limits or excludes liability that cannot be lawfully limited or excluded, such as liability for gross negligence, willful misconduct, death, personal injury caused by our negligence, or mandatory statutory liability in your jurisdiction.

Indemnification

You agree to defend, indemnify, and hold harmless ToolChamp and its operators, contributors, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy; or (d) any Content you submit through the Service.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we believe you have violated these Terms. Upon termination, all rights granted to you under these Terms will cease immediately. Sections that by their nature should survive termination — including intellectual property, warranty disclaimers, limitation of liability, indemnification, and governing law — shall survive.

Export controls and sanctions

You agree to comply with all applicable export control and sanctions laws — including those of the United States, the United Kingdom, and the European Union. You represent that you are not located in, under the control of, or a national or resident of any country subject to comprehensive trade sanctions, and are not on any restricted-party list (such as the U.S. Office of Foreign Assets Control's Specially Designated Nationals list).

Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, labor disputes, utility failures, internet service provider outages, cyberattacks, or natural disasters.

Governing law

These Terms are governed by generally accepted international principles of contract law, without regard to any jurisdiction's conflict-of-laws rules. Where you use the Service as a consumer, mandatory consumer protection laws of your country of residence — including the EU General Data Protection Regulation (GDPR) for users in the European Economic Area, the UK Data Protection Act for UK users, and the California Consumer Privacy Act (CCPA) for California residents — apply and are not affected by these Terms.

Dispute resolution

Before filing any formal legal claim, you agree to first contact us at [email protected] to describe the dispute. We will attempt in good faith to resolve the matter informally within 30 days.

Where permitted by law, any unresolved dispute shall be resolved by individual binding arbitration, and not in a class, collective, or representative proceeding. Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property or confidentiality violations, or from pursuing small-claims-court remedies.

Class action waiver

To the extent permitted by law, you and ToolChamp agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. If this waiver is held unenforceable for a particular claim, that claim shall be severed and proceed in court, while all other claims remain in arbitration.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Effective” date at the top of this page and, where practical, notify users via a banner on the Service. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

Third-party model terms and open-source components

Some features in the Service rely on third-party models distributed under their own additional terms. When you use those features, you also agree not to engage in any activity prohibited by the upstream provider, including:

The Service also incorporates open-source software distributed under the GNU Affero General Public License (AGPL-3.0). Source code for these components is available on request by emailing [email protected], and we will provide a download link at no charge for at least three years.

Attribution for components distributed under CC-BY-4.0 is provided here: speaker diarization features are powered by pyannote.audio by Hervé Bredin et al., and WeSpeaker by the wenet-e2e team.

Miscellaneous

  • Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full effect, and the invalid provision shall be replaced by an enforceable provision that most closely reflects the original intent.
  • No waiver. Our failure to enforce any provision does not waive our right to enforce it later.
  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and ToolChamp regarding the Service and supersede all prior agreements.
  • Assignment. You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations, including as part of a merger, acquisition, or sale of assets.
  • Relationship. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and ToolChamp.
  • Language. These Terms are drafted in English; translations are for convenience only and the English version governs in case of conflict.
